By accessing the website at http://kobalgo.ai or http://dilimatic.com, you are agreeing to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing these sites. The materials contained in these websites are protected by applicable copyright and trademark law.

2. Definitions

• "Company," "We," "Us," and "Our" refers to Kobalgo Inc.
• "Website" refers to kobalgo.ai and dilimatic.com.
• "Dilimatic" refers to the AI-powered due diligence platform operated by Kobalgo Inc. and accessible at dilimatic.com. Dilimatic is a product of Kobalgo Inc. and is fully subject to these Terms of Service.
• "Service" refers to the websites and any services offered through them, including Dilimatic.
• "User," "You," and "Your" refers to the individual accessing the Service.
• "Terms" refers to these Terms of Service.
• "Content" refers to all information and materials made available on our websites.
• "Uploaded Data" refers to any documents, files, surveys, or other materials submitted by users to the Dilimatic platform for processing, including but not limited to due diligence surveys, financial documents, and transaction-related files.

3. Dilimatic — AI-Powered Due Diligence Platform

Dilimatic is Kobalgo Inc.'s first commercially launched AI product. It is an AI-powered due diligence platform designed for investment professionals, deal teams, and corporate development groups. By using Dilimatic, you agree to the following additional terms:

• AI-Generated Outputs. All analysis, risk assessments, memos, and reports generated by Dilimatic are produced by artificial intelligence. They are provided for informational purposes only and do not constitute financial, legal, or investment advice. Outputs must be reviewed and validated by qualified professionals before being relied upon for any investment decision.
• Uploaded Data. You retain ownership of all documents and files you upload to Dilimatic. By uploading data, you grant Kobalgo Inc. a limited, non-exclusive license to process that data solely for the purpose of providing the Service to you. Your uploaded data is never used to train our AI models.
• Confidentiality of Deal Data. We treat all uploaded due diligence materials, financial documents, and deal-related data as strictly confidential. Your data is processed in isolated environments under AES-256 encryption and is not shared with third parties except as required by law.
• Data Deletion. You may request deletion of your uploaded data at any time. Upon request, all associated files and analysis outputs will be permanently deleted from our systems.
• No Guarantee of Accuracy. While Dilimatic is designed to surface material risks and produce high-quality analysis, Kobalgo Inc. makes no warranty that outputs are complete, accurate, or free from error. Human review and professional judgment remain essential components of any due diligence process.

4. Use License

1. Permission is granted to temporarily download one copy of the materials (information or software) on Kobalgo Inc.'s websites for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

   • Modify or copy the materials;
   • Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
   • Attempt to decompile or reverse engineer any software contained on Kobalgo Inc.'s websites;
   • Remove any copyright or other proprietary notations from the materials; or

BY USING THE SERVICE, YOU AGREE NOT TO:

• Provide, post, or authorize a link to any of the Service from a third-party website that is not owned or operated by you;
• Remove or modify any copyright or other intellectual property notices that appear in the Service;
• Use the Service in any way that is unlawful, or harms Kobalgo Inc., its service providers, suppliers, affiliates, or any other user;
• Use the Service in any way to discriminate against any individual or class of individuals protected under federal, state or local laws, or which may have a discriminatory impact against any individual or class of individuals, or which otherwise promotes illegal, racist or discriminatory activities or outcomes;
• Distribute or post spam or other unsolicited messages, chain letters, pyramid schemes, or similar communications through the Service;
• Impersonate another person, misrepresent your affiliation with another person or entity, or make any representation to any third party under false pretenses;
• Reproduce, publicly display, or otherwise make accessible on or through any other website, application, or service any reviews, ratings, or profile information, underlying images or information, or other data or content available through the Service, except as explicitly permitted by us;
• Upload invalid data, viruses, worms, or other software agents to the Service;
• Upload to Dilimatic any data you do not have the legal right to share, including confidential information belonging to third parties without proper authorization;
• Use Dilimatic outputs as the sole basis for investment, legal, or financial decisions without independent professional verification;
• Post, reproduce, publicly display, or otherwise make accessible any content, which we, in our sole judgment and discretion, consider illegal, offensive or objectionable including without limitation content that harasses, discriminates, demeans, threatens or disparages any individual or class of individuals;
• Interfere with, or compromise the system integrity or security of the Service, or otherwise bypass any measures we may use to prevent or restrict access to the Service;
• Conduct automated queries (including screen and database scraping, spiders, robots, crawlers, bypassing "captcha" or similar precautions, or any other automated activity with the purpose of obtaining information from the Service);
• Use any of Kobalgo Inc.'s or Dilimatic's trademarks as part of your screen name or email address on the Service;
• Access or use any of the Service to develop competitive products or services; or
• Attempt to, or permit or encourage any third party to, do any of the above.

6. Intellectual Property Rights

The Service and its original content, features, and functionality — including Dilimatic and all AI models, algorithms, interfaces, and analysis frameworks contained therein — are and will remain the exclusive property of Kobalgo Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress, including the names "Kobalgo" and "Dilimatic," may not be used in connection with any product or service without the prior written consent of Kobalgo Inc.

7. Disclaimer

1. The materials on Kobalgo Inc.'s websites, including all outputs generated by Dilimatic, are provided on an 'as is' basis. Kobalgo Inc. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
2. Dilimatic outputs are AI-generated and are not a substitute for professional financial, legal, or investment advice. Kobalgo Inc. expressly disclaims any liability arising from reliance on Dilimatic-generated analysis without independent professional verification.
3. Further, Kobalgo Inc. does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its websites or otherwise relating to such materials or on any sites linked to these sites.

8. Limitations of Liability

In no event shall Kobalgo Inc. or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Kobalgo Inc.'s websites or any outputs generated by Dilimatic, even if Kobalgo Inc. or an authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

9. Accuracy of Materials

The materials appearing on Kobalgo Inc.'s websites could include technical, typographical, or photographic errors. Kobalgo Inc. does not warrant that any of the materials on its websites are accurate, complete or current. Kobalgo Inc. may make changes to the materials contained on its websites at any time without notice. However, Kobalgo Inc. does not make any commitment to update the materials.

Kobalgo Inc. has not reviewed all of the sites linked to its websites and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Kobalgo Inc. of the site. Use of any such linked website is at the user's own risk. Note that dilimatic.com is a Kobalgo Inc. property and is governed by these Terms.

11. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law
